Deadline Missed: The 25,000-Dollar Rescue When Your Form 5472 Was Never Filed

Your Form 5472 was never filed and the IRS is threatening 25,000 dollars? What counts now: file immediately and argue reasonable cause properly.

Published: April 7, 2026

It is early April, the US tax season is running towards the 15th, and our inbox is filling with messages that all start the same way: "I've only just found out that my LLC has to file something every year." Sometimes a second sentence follows: "And now a letter for 25,000 dollars has arrived." Take a breath. This situation can be repaired, and far more often than the letter makes it sound. Here is the rescue guide, in the order that matters.

What this is about, in thirty seconds

Every foreign-owned single-member LLC must file Form 1120 with Form 5472 every year, even without a single dollar of revenue; you know the basics. The penalty for not filing is 25,000 dollars per form and year, plus a further 25,000 for each 30-day period or part of one after an IRS notice; the Instructions for Form 5472 document the rules soberly and completely. The deadline is 15 April of the following year, extendable to October with Form 7004, but only if the extension was requested on time. Classic victims: formations through budget providers who never mentioned the topic, and December formations whose short first year nobody had on their radar.

The rescue, step by step

Step one: file immediately, for every open year. The most important rule of the whole rescue: every day you wait makes things worse, every filing makes them better. The missed 1120/5472 sets are filed in full and correctly, for several years at once if need be. A late but voluntary filing before the IRS sends a notice is the strongest position you can still reach.

Step two: reasonable cause, properly argued. The IRS can waive the penalty if you set out understandable reasons and have otherwise acted in good faith; the IRS describes its standards in its penalty relief criteria. What works: an honest, specific, documented account of why you did not know about the obligation through no fault of your own, for example because your formation provider demonstrably kept quiet about it, combined with immediately catching up and a system set up for the future. What does not work: "I didn't know" as a bare sentence, blaming others without evidence, or explanations that admit something worse along the way. A reasonable cause statement is a legal document dressed as a letter; here, drafting experience decides five-figure sums, and these are exactly the statements we have been preparing for years.

Step three: respond correctly to the penalty notice. If the letter has already arrived: take the deadlines in the notice seriously, use the routes of appeal and do not pay on reflex. A considerable share of 5472 penalties are reduced or cancelled on a well-reasoned appeal, especially for first offences with a clean catch-up. What you should never do: ignore the letter (the 30-day escalation is running), dissolve the LLC in a panic (the obligations for the open years remain, and dissolution looks like flight), or send the IRS creative explanations on your own.

Afterwards: the system that keeps it from ever happening again

The most honest point of this article: the 25,000-dollar trap is 100 percent a question of ongoing support. With us, the annual 1120/5472 is part of the package, with deadline management and your list of draws as groundwork; clients of our firm simply do not get this penalty. If your LLC sits with a provider who has never mentioned the words Form 5472, think of moving it to us not as an optional extra but as insurance.
