The Permanent Establishment Trap: How Your LLC Becomes Taxable in the Wrong Country

Your US LLC is taxed where it is managed: how the permanent establishment trap works, why your home office matters and how to keep your setup clean.

Published: November 11, 2025

It is the most uncomfortable truth of the whole LLC model, so we put it at the start instead of in the small print: for tax purposes, your LLC is not at home where it is registered, but where it is actually managed. Wyoming on the register does not protect you if Lisbon, Dubai or Bangkok is sitting at the desk. Welcome to the permanent establishment trap. Where your permanent establishment belongs instead is shown on our page on permanent establishments abroad.

How the trap works

Almost every tax system has two ways of reaching foreign companies. Route one: the place of management. If a company is in fact run from within a country, many states simply treat it as resident there. Route two: the permanent establishment. Even without full residence, a country can tax the profits attributable to a fixed place of business on its soil; the internationally common definition is in Article 5 of the OECD Model Tax Convention, and yes, a home office used on a lasting basis can also be such a fixed place of business. Some countries define the term even more broadly than the OECD.

In plain terms: the digital entrepreneur who sits in the same apartment in Valencia for six months with a Wyoming LLC, signing contracts, managing clients and making decisions from there, has very probably created a Spanish taxable entity from Spain's point of view. The LLC changes nothing about that; it just carries the problem on nicer letterhead.

Why this is no reason to panic

Now the all-clear, because the trap has one feature that makes it manageable: it only snaps shut where substance and duration come together. Three setups defuse it cleanly:

First: genuine movement. The nomad who really does keep moving gives no country the fixed place of business and the lasting management that a permanent establishment depends on. That takes discipline and honest self-assessment, but then it works.

Second: the right country of residence. A number of countries do not tax their residents' foreign income at all, or only when it is brought into the country, or they handle look-through questions generously in practice. If you choose your home base accordingly, the trap becomes a footnote.

Third: substance where it belongs. In more complex cases, management can genuinely be moved: real decision-making processes, staff and premises outside the country where you stay. That is effort for advanced cases and only pays off at a certain size, but for completeness it belongs on the map.

The questions to test yourself with

Ask yourself four questions, the way an auditor would: where am I physically when I make the important decisions? Is there a place that serves me as a lasting, regular work base? How many months a year do I spend there? And would an outsider say the business is run "from there"? If every answer points to the same high-tax country, you do not have an LLC question but a residence question, and you solve that before formation, not after the tax assessment. Moving to a suitable country is the real answer; the LLC is the tool afterwards, not the magic trick beforehand.

Your next step

If your setup rests on movement or a suitable home base: choose a state, order your LLC and start clean. If you are unsure whether your favourite country fits with an LLC (Portugal, Spain, Thailand and the Emirates are the most frequent candidates in our conversations), book a consultation with Sebastian, held in English: one hour, honest feedback, 15-minute guarantee.
