The Seven Costliest US LLC Mistakes (and What Each One Costs)

From a leftover home residence to a forgotten Form 5472: the seven costliest LLC mistakes from our firm's practice, with price tags and the way out.

Published: April 21, 2026

After two decades and more than a thousand engagements, we know this model's accident statistics by heart. It is always the same seven mistakes, and each one carries a price tag. Here they are, sorted by the size of the damage, each with the one sentence that would have prevented it.

Mistake 1: Running the LLC while still tax resident at home

Price tag: back taxes, interest and, in the worst case, criminal tax proceedings. The cardinal mistake, and we will repeat it until it gets boring: as long as you are fully taxable at home, the LLC's profits belong in your tax return there. The sentence that prevents it: First the residence, then the company.

Mistake 2: The paper residence

Price tag: the entire setup, unwound by your home country's tax authority. A residence card in the drawer, a room at your parents' place, a life that in fact goes on in Europe: the 183-day article lays out the whole anatomy of why that fails. The sentence: A country of residence is a place where you can prove you live.

Mistake 3: The Cyprus mix-up (and its relatives)

Price tag: up to 35 percent on income you thought was tax free. Non-dom privileges for dividends, applied to a company that does not pay dividends; the Beckham regime combined with an operating LLC; remittance-basis countries without account discipline. Special regimes favour particular types of income, and a transparent LLC translates into a different one. The sentence: Check which type of income your regime means before you book.

Mistake 4: Not knowing about Form 5472

Price tag: 25,000 dollars per year, plus escalation. The mistake made by clients of budget providers; the rescue guide is here. The sentence: An LLC without deadline management is not a bargain, it is a ticking invoice.

Mistake 5: Commingling

Price tag: your liability protection, pierced in court. The LLC account used as a private petty cash box, withdrawals growing wild, no Operating Agreement in the file: this is exactly how owners lose, before US courts, the dividing line they formed the company for. The rules are in the article on taking money out. The sentence: Business through the LLC account, private through your private account, labelled withdrawals in between.

Mistake 6: Choosing the state by its fee table

Price tag: the difference between a tool and a nuisance, over years. Decide on a twenty-dollar fee difference and you end up with publication requirements, weak charging order protection or a register that does not fit your case. Privacy, protection class and image decide, the atlas compares them honestly, and Wyoming versus Delaware is usually the real question. The sentence: You are forming for years, not for formation week.

Mistake 7: A setup without maintenance

Price tag: gradual, then sudden. Thailand changes its remittance rules, Estonia buries its zero rate, banks change their compliance lines. A setup that was perfect in 2021 is an audit question in 2026. The sentence: Tax free is not an installation, it is a practice, and ongoing support is its price. By the way, the IRS documents your LLC's reporting duties anew every year in the Form 5472 instructions, in case you want to handle the maintenance yourself.

The pattern behind all seven

Not one of these mistakes is an LLC mistake. They are sequencing mistakes (1, 2), understanding mistakes (3, 6) and support mistakes (4, 5, 7), and all seven can be avoided completely with one hour of honest planning plus ongoing support. That is exactly what our package consists of: planning up front and maintenance afterwards.
