US Account Declined: The 9 Real Reasons and How to Avoid Them

Why banks and fintechs decline LLC accounts for foreign owners: the nine most common reasons, from inconsistent data to high-risk industries, and fixes.

Published: October 7, 2025

The LLC is in place, the EIN has arrived, and then the email comes: "Unfortunately, we are unable to open your account at this time." No reason, no contact person, just the friendly finality of American compliance. Account rejections are the single most frustrating moment of the whole LLC formation, and they are almost always avoidable once you know the real reasons. Here are the nine we know from hundreds of cases, with the remedy for each.

The nine reasons

1. Your data tells different stories. Your passport says "José Muñoz", the LLC filing says "Jose Munoz", and the address on the application differs from the one on your utility bill. Compliance systems match data automatically, and every discrepancy is a red flag. The remedy: one single spelling, exactly as in your passport, used consistently on every document.

2. The EIN letter is missing. Banks want to see the IRS confirmation letter (CP 575), not just the number. If you have lost it, request a replacement confirmation from the IRS, and wait. The remedy: save several digital copies of the letter from day one.

3. Your address smells like a mailbox. Bare Registered Agent addresses that show up thousands of times in databases set off alarm bells at some institutions. The remedy: a real business address with a sublease agreement, as included in our package, used consistently everywhere.

4. Your industry counts as high risk. Crypto, gambling, CBD, adult content, weapons, sometimes even coaching with high ticket prices: many institutions decline these categorically without saying so. The remedy: state your industry honestly (concealment gets discovered and leads to the account being closed), but choose the institution to fit the industry, instead of feeding special cases to standard fintechs.

5. Your country of residence is on the wrong list. Compliance departments work with country lists: sanctions, FATF grey lists, internal risk ratings. If you live in a listed country, many providers will not give you a chance; the FATF, among others, maintains the underlying lists. The remedy: choose providers that explicitly accept your country of residence; that is exactly what we check before you apply.

6. Your business description is fog. "Consulting" with zero detail, no website, no plausible client story: to the reviewer it looks like a shell. The remedy: two precise sentences about your business model, a working website, realistic revenue figures. The reviewer wants a story that fits together; not a perfect one, but a real one.

7. The Operating Agreement is missing or contradicts the application. Banks ask for the company agreement, and if it names a different manager than the application, that's the end of it. The remedy: a clean, current Operating Agreement, which with us is part of the formation documents.

8. Your history gets in the way. Earlier chargebacks with payment providers, closed accounts, negative database entries (in the US, ChexSystems for example) follow you around. The remedy: disclose old issues rather than hide them, and choose providers with manual review, where a human can read your explanation.

9. You started at the wrong institution. The traditional bank that requires a branch visit turns down remote founders, the trendy fintech turns down your industry, and both rejections could have been avoided. The remedy: plan the order of your applications strategically, because every rejection can end up in databases and make the next review stricter.

The pattern behind all nine

Do you see it? Eight out of nine reasons are preparation mistakes, not fate. US compliance is strict but predictable: consistent data, complete documents, a plausible story, the right institution. That is exactly why we guide the account opening as part of the package, with the experience of the cases that went wrong before you came to us. What a realistic timeline to a usable account looks like is in the article on formation time.
