The character of the state

Out of the empty desert, Nevada built wonders of the world twice: first the silver mines of the Comstock Lode, which financed the West, then a city of neon that never sleeps. Las Vegas is the most American of all American dreams: the bet that sand and nerve can be turned into gold, and the bet was won. The Silver State has no income tax, keeps its courts business-friendly and rolled out the red carpet for founders for decades, which is why it rightly counts among the most famous states of formation in the world.

Nevada is no longer an insider tip and does not want to be. The former favourite has an identity of its own: a name everyone knows, the rare Ltd ending, the Series LLC written into statute. If you form here, you do it on purpose, not by accident.

Who Nevada makes sense for

For decision-makers who deliberately choose the big name, the fast register, the Ltd ending or the series structure, for example because the people around them simply know and respect Nevada. For everyone else: favourites.

Do you really need a Nevada LLC?

The honest counter-question before you order: if what draws you to Nevada is mainly the look, you do not need a Nevada LLC for it. Your business address is yours to choose, in any state, for any LLC. You can get a Las Vegas address from one of the many virtual business address providers for around $20 to $150 a month; you book that yourself, directly with the provider, and it is not part of our package. Combined with a Wyoming LLC you get the same presence, plus anonymity in the register and the strongest statutory asset protection in the US.

There are two things an address cannot replace, though, and they belong to the full picture. First: your contracts and invoices state the company's state of formation. If you need "Nevada" to appear there explicitly, you really do need the Nevada LLC. Second: an address is appearance, not substance. If you actually keep premises, staff or ongoing business operations in Nevada, you create a real connection there with reporting and tax consequences, regardless of where the LLC was formed. Nevada is one of very few states that allow an Ltd ending for the LLC (so ABC Ltd instead of ABC LLC).
