Do you really need a Florida LLC?
The honest question before you order: if what draws you to Florida is mainly the look of it, you don't need a Florida LLC for that. Your business address is yours to choose, in any state, for any LLC. A Miami address is available from any of the many virtual business address providers for around $20 to $150 a month; you book it yourself, directly with the provider, and it is not part of our package. Pair it with a Wyoming LLC and you get the same presence, plus anonymity in the register and the strongest statutory asset protection in the US.
There are two things an address cannot replace, though, and they belong to the full picture. First: your contracts and invoices show the company's state of formation. If they need to say "Florida" in so many words, you really do need the Florida LLC. Second: an address is appearance, not substance. If you actually keep premises, staff or ongoing business operations in Florida, you create a real point of connection there, with reporting and tax consequences, regardless of where the LLC was formed. Situations like that belong in a consultation (held in English only) before you order.
And if your reason for Florida is a personal or business connection: good choice. That is exactly what this page is for.
Why Florida?
The number one lifestyle choice A positive image No anonymityUnlike in Delaware and Wyoming (here are all three states compared), the founder or member of a Florida zero-tax LLC is not anonymous. Your name, including your private address, is published in Florida's state register, where anyone can look it up online. That doesn't have to be a drawback. Quite the opposite: sometimes you actually want to appear as the member in a public register, because certain service providers, business partners or customers require it.
The character of the state
No corner of America captures the imagination quite like Florida: for decades, the Sunshine State has been a dream destination for people from all over the world. The state levies no income tax, Miami is the gateway to all of Latin America, and every Moon mission in history launched from Cape Canaveral: Florida does beaches AND lift-off.
For your LLC, that means the most familiar, most positive sender address a US company can have. An invoice from Florida smells of success with a sea view. The price for it is stated honestly above: your name in the public register, which, as described, can be exactly what you want.

How long formation takes
Formation in Florida takes time, and unfortunately there is no way to speed it up. Allow around 10 days until the company is registered.
Tax treatment in the US
Structured correctly, your Florida LLC pays no taxes in the US. Please read our detailed explanation. Whether and to what extent the Florida LLC's profits are taxed in your country of residence is a question for your tax adviser or for a consultation, held in English.
Asset protection
CLASS DFlorida is the big exception here. Since the Florida Supreme Court's Olmstead decision (2010) and the rule in Fla. Stat. 605.0503, the charging order is the exclusive remedy only for LLCs with several members. With a single-member LLC, a creditor can seize and sell the entire membership interest, and because a zero-tax LLC is almost always single-member, Florida's protection is practically worthless for you. If asset protection is one of your main motives, do not choose Florida. The reference state for that is Wyoming.
Rating: our firm's assessment based on the company law, not legal advice for your individual case.
Transparency in the register
Florida does not offer anonymity. The details of your Florida LLC's member are published in the state register.
If discretion is a priority for you, look at Wyoming, New Mexico or Delaware. More under anonymity.
