Chancery Courts and Business Courts: Why America's Business Courts Are Your Quiet Selling Point

Delaware Chancery, Wyoming Chancery, Texas Business Courts: what makes America's business courts special, and what they mean for you as an LLC owner.

Published: May 5, 2026

It is the selling point nobody understands and everybody feels: "The state has its own business court." What is that supposed to mean to a founder outside the US who hopes never to see the inside of an American courtroom? More than you think, and by the end of this article you will know why the court question is treated as a hard criterion in our state atlas.

What a chancery court actually is

The US inherited a split from English law that surprises anyone from a civil law country: equity courts that decide without a jury, with professional judges who do nothing but company and property law. The most famous is the Delaware Court of Chancery, in business since 1792: its judges write the rulings that in practice make up America's company law, its proceedings are fast, its outcomes predictable, and that predictability is the real treasure. Law whose outcome can be calculated gets litigated less often: most disputes die at the desk because both sides' lawyers know how Chancery would decide.

The new generation: Wyoming and Texas follow suit

The model is catching on, and precisely in the states we recommend. Wyoming has created its own Chancery Court, a specialised business court with tight deadlines and digital procedures, tailored to the companies the state attracts so successfully; for the model state for charging orders, it is the logical second half of the promise: a strong statute plus a court that applies it competently. And since 2024, Texas has built its own system of Business Courts for commercial matters, part of Texas's ambition to compete with Delaware, high-profile corporate relocations included. For our Texas page, this is not a marketing detail but proof that the flagship state is institutionalising its business-friendliness.

What this means for you in practice

Now the honest translation into your life as a sole owner, in three layers. Layer one, probability: your LLC will very probably never go to court, and that is partly thanks to these very courts, as above: predictable law produces fewer lawsuits. You benefit most from the court when you never need it.

Layer two, the emergency: if things do blow up, whether a contract dispute, a creditor attack or a conflict between members in a multi-member structure, the quality of the court decides years and fortunes. A specialised professional judge who reads Operating Agreements every day rules differently from a jury in a general court with no business division. The court question is insurance: invisible until it is everything.

Layer three, the outside effect: demanding business partners, investors and their lawyers read your company's state of formation like a contract clause. "Wyoming" or "Delaware" in the caption says: a grown-up legal environment, no surprises. It is the same mechanism we described for Delaware's image, applied to the judiciary, and it works for you in every contract negotiation, quietly and for free.

Putting it in perspective without exaggeration

To keep this article honest: the court question does not decide a state comparison on its own. It is one of several criteria alongside discretion, protection class and cost, and for a pure freelancer LLC with no assets to speak of, it weighs little. Its weight grows with what is at stake: trading capital, real estate, shareholdings, family wealth. From that level on, it belongs in your choice of state, and it is no coincidence that the states leading here also lead our list of recommendations.
