Two companies are only better if each one has a clear job.
A Wyoming holding company can sit above your operating LLC and hold shareholdings or certain assets. That can bring order to responsibilities and separate operating risks from other assets. It is not an automatic shield and not a blanket tax strategy.
When the structure is worth examining
A holding company can make sense when several operating activities are brought together, shareholdings are held for the long term, or assets should not sit directly in the company that trades every day. Before formation, liability, payment flows, contracts, country of residence and tax treatment have to be looked at together.
What the firm structures
- the roles of the holding company and the operating LLC
- ownership and management structure
- formation and registration documents
- Operating Agreements and internal documentation
- EIN, state obligations and ongoing US compliance
- the interface with a more in-depth asset protection review
What this structure does not do
A second LLC does not end personal tax liability, does not remove reporting obligations, and does not protect against claims if companies are mixed up, contracts are assigned to the wrong entity or assets are moved inappropriately. The structure has to be genuinely lived and documented.
